Calumet Announces $150M Senior Notes Offering Due 2031 | CLMT

INDIANAPOLIS, March 12, 2026 /PRNewswire/ — Calumet, Inc. (NASDAQ: CLMT) announced today the pricing of a $150 million private placement of 9.75% Senior Notes due 2031, according to a company statement. The offering, conducted under Rule 144A and Regulation S, is expected to close on March 17, 2026, subject to standard closing conditions.

The newly issued notes will be sold at 105% of their face value and mature on February 15, 2031. Calumet intends to utilize the net proceeds from this placement to reduce outstanding balances on its existing revolving credit facility, the company stated. These “Additional Notes” will be integrated with $405 million in aggregate principal amount of existing 9.75% Senior Notes due 2031, initially issued on January 12, 2026, sharing the same terms except for the initial offering price.

The securities have not been registered under the Securities Act of 1933, or any state securities laws, and are being offered solely to qualified institutional buyers and non-U.S. Persons outside the United States, in compliance with applicable regulations.
