[Financial Channel/Comprehensive Report]Global Crystal, a major silicon wafer manufacturer, announced today that the acquisition of Siltronic in Germany has not yet been approved by the German government before the transaction deadline. Shichuang will pay a transaction termination fee of 50 million euros (approximately NT$1.561 billion). Due to the sound financial situation, this transaction termination fee will have a limited impact on Global Wafers.

In addition to paying Shichuang a transaction termination fee of 50 million euros, the 13.67% shares of Siltronic acquired by Global Crystal in the market can be freely disposed of without restriction on the holding period; the other 56.60% of Siltronic shares that should be sold during the public offer still belong to The original shareholder is expected to be converted into general tradable ordinary shares immediately on February 8, 2022, and Universal Wafer has no obligation to perform the contract.

Global Crystal emphasized that the failure to successfully acquire Shichuang will not affect the various operational activities of Global Wafer, such as order taking, and will continue to work closely with customers in Europe, including many customers who support this acquisition.

In addition, Global Wafer will analyze the decision of the German government not to give a conclusion to the acquisition, and consider the impact of this decision on its future investment strategy.
