NOTICE OF MEETING

Ladies and Gentlemen, shareholders of “MANAGEM”, a public limited company with a capital of 999,130,800 dirhams, whose head office is in Casablanca, TWIN CENTER, Tower A, Angle Boulevard Zerktouni and Boulevard Al Massira Al Khadra, BP 16016, Maarif , are convened to an Extraordinary General Meeting, at the registered office, on:

TUESDAY 19 SEPTEMBER 2023 AT 10 AM

In order to deliberate and decide on the following agenda:

Report of the Board of Directors; Capital increase, issue premium included, for a maximum total amount of three billion (3,000,000,000.00) dirhams; Exercise of preferential subscription rights; Delegation to the Board of Directors of the powers necessary to carry out the capital increase; Powers for legal formalities.

To participate in the aforementioned Meeting:

the owners of bearer shares must at the registered office, five days before the meeting, either deposit the bearer shares or have the depositary institution of these shares send the related certificates of deposit; holders of registered shares must have been previously registered in an account, either in pure registered form or in administered registered form, five days before the meeting, and provide proof of their identity on the day of the meeting.

Any shareholder may be represented by another shareholder providing proof of a mandate, by his or her spouse or by an ascendant or descendant, as well as by any legal person whose corporate purpose is the management of portfolios of transferable securities. To this end, proxy forms are available to shareholders at the registered office.

Pursuant to the provisions of Article 28.3 of the Articles of Association, any shareholder may also vote by correspondence using a postal voting form that we keep at the registered office at the disposal of shareholders.

This notice, the text of the draft resolutions and all the documents and information referred to in Articles 121 and 121bis of Law 17-95, as amended and supplemented, relating to public limited companies, including proxy voting forms and postal voting, will be available on the company’s website (www.managemgroup.com) within the legal deadlines.

In accordance with Article 121 of the aforementioned Law 17-95, shareholders holding the percentage of shares provided for in Article 117 have a period of 10 days from the publication of this notice to file or send to the registered office against acknowledgment of receipt their request for inclusion of draft resolutions on the agenda of this Meeting.
