This reform of the company code will therefore apply to all companies in Belgium from January 1. It is estimated that there are around half a million companies registered in our territory. All companies incorporated before May 2019 and therefore the entry into force of the new code, will have to adapt their statutes of your company, before December 31.
A necessary visit to the notary, but not always explains Alessandra Tuccia, legal advisor for the Securex social secretariat: “If these are companies that have been incorporated with the notary, such as limited companies, SPRLs, etc. You have to go to the notary, it’s inevitable. Now, for legal forms which are constituted by private deed, that is to say where there is no need for the intervention of the notary, there is no need to go back before the notary either to comply.“
In Belgium, the majority of companies are incorporated before a notary. This is particularly the case of the famous SPRL. There are around 430,000 among us. They will therefore have to go to the notary to modify their status. The operation will cost on average between 1200 and 1500 €, regardless of the size of the company.
