Wolfspeed, Inc. announced on October 7, 2026, that it has received a conditional loan commitment letter from the U.S. Department of War, acting through its Office of Strategic Capital, for up to $1.5 billion in long-term financing. The Durham, North Carolina-based semiconductor company reported that the funding aims to support domestic development and production of silicon carbide materials and wide bandgap power devices, with a specific focus on national security applications.
Strengthening Domestic Silicon Carbide and Wide Bandgap Supply Chains
The conditional commitment outlines a senior secured delayed-draw term loan facility spanning 30 years. Wolfspeed stated that the capital will bolster its manufacturing footprint across North Carolina, New York, and Arkansas. Beyond general supply chain resilience for the U.S. defense and economic industrial base, the multi-year program targets several specific technological advancements.
The financing will also fund the development of domestic radiation-hardening capabilities for its existing silicon carbide products and future gallium nitride offerings.
“SiC and GaN have critical national security applications,” Robert Feurle said. “With this financing, the company would be well positioned to not only continue to serve the DoW but also expand its capabilities for the benefit of U.S. national security as a whole.”
Financial Structure and Warrant Issuance Requirements
Chief Financial Officer Gregor van Issum said the 30-year commitment optimizes the company's capital structure and improves its financial foundation. The funding is intended to provide long-dated capital to support strategic priorities and enhance financial flexibility.
As part of the potential transaction terms, and subject to the negotiation and execution of definitive agreements, Wolfspeed would be required to issue volume-weighted average price-based warrants to the Department of War. These warrants would allow the purchase of up to 7.5% of Wolfspeed’s fully diluted equity in the aggregate, issuable pro rata as individual financing tranches are funded.
Financing Depends on Due Diligence and Regulatory Approvals
The announcement emphasizes that the financing remains strictly conditional. Finalization depends upon substantial due diligence by the Office of Strategic Capital, the negotiation of definitive legal agreements, and the satisfaction of various financial and regulatory conditions.
Additional prerequisites include obtaining necessary governmental authorizations, appropriations, third-party consents, and satisfactory amendments or waivers governing Wolfspeed’s existing indebtedness. Wolfspeed noted that no assurances can be given that definitive agreements will ultimately be executed or that the financing will be provided as currently contemplated.
