By combining two of the Appalachian Basin’s largest producers, the deal aims to solidify EQT’s position as the nation’s largest vertically integrated natural gas producer. The transaction is expected to close in the first quarter of 2027, subject to customary regulatory clearances and shareholder approvals.
EQT Acquires Range Resources in Stock Merger
Under the terms of the Agreement and Plan of Merger signed on October 25, 2026, Range Resources shareholders will receive 0.987 shares of EQT common stock for each share of Range they own. This exchange ratio values Range’s equity at approximately $12.83 billion, or $54.91 per share, representing a 20.6% premium over Range’s closing price on the preceding Friday. Following the completion of the merger, EQT shareholders are expected to own approximately 73% of the combined company, with Range shareholders holding the remaining 27% on a fully diluted basis.
The deal involves a two-step merger process. Initially, an EQT subsidiary, Rhino Merger Sub Inc., will merge into Range Resources, with Range surviving as an indirect wholly owned subsidiary. Subsequently, Range will merge into another EQT subsidiary, Rhino Merger Sub LLC. The agreement also dictates specific termination fees: Range would be obligated to pay EQT $423 million if the deal is terminated under certain conditions, while EQT would owe Range $1.148 billion if it defaults on the agreement. The transaction must be completed by October 25, 2027, with an automatic extension to April 25, 2028, under specific regulatory circumstances.
Merger Creates Massive Appalachian Basin Asset Base
EQT President and CEO Toby Z. Rice stated that the transaction brings together two of the highest-quality, longest-duration asset bases in North America and creates a company uniquely positioned for the next era of natural gas.
The combined firm will command nearly 3 million net acres in the Appalachian Basin, supported by over 3,700 miles of midstream pipeline assets. This scale provides the company with more than 30 years of drilling inventory.
Management anticipates that the integration will yield $325 million in annual cost savings within two years, with a long-term trajectory toward $600 million in synergies. The company projects that the combined entity will generate approximately $20 billion in cumulative free cash flow over the next five years, based on recent market prices. EQT expects the deal to reduce its unlevered free cash flow breakeven point to below $2 per million British thermal units (MMBtu), enhancing resilience against commodity price volatility.
AI Data Centers Drive Long Term Gas Demand
The merger arrives during a period of fluctuating natural gas prices. Henry Hub futures recently slid to approximately $2.51 per million Btu as warm weather forecasts curtailed heating demand. Despite these short-term pressures, EQT is positioning the company to benefit from long-term structural demand. CEO Toby Rice noted on a conference call that the company’s expanded resource base solidifies its role as the operator of choice for premium, long-term supply arrangements,
specifically citing the power requirements of AI-driven data centers as a primary growth driver.
The Energy Information Administration (EIA) forecasts that domestic natural gas consumption will rise from 91.9 billion cubic feet per day (Bcf/d) in 2025 to 94.3 Bcf/d by 2027. LNG exports are projected to reach a record 17.4 Bcf/d in 2026.

EQT Shares Fall as Law Firm Probes Deal
The announcement on October 26, 2026, prompted immediate movement in equity markets. EQT shares fell 4.6% in premarket trading, while Range Resources shares surged 10.1%. Analysts suggest the pressure on EQT’s stock reflects common dynamics in large, all-stock transactions, specifically dilution concerns and merger arbitrage activities.
The deal has also drawn legal attention. Ademi LLP, a Milwaukee-based law firm, announced an investigation into whether the acquisition provides fair value to Range Resources’ public shareholders and whether the company’s board adequately protected their interests during negotiations. The firm is examining the exchange ratio and potential benefits to company insiders.

Governance and Future Leadership
Upon closing, the combined company will maintain its headquarters in Canonsburg, Pennsylvania, and will be led by EQT’s management team. To ensure representation, EQT has committed to adding two Range Resources representatives to its board of directors, including Range’s current President and CEO, Dennis L. Degner. EQT has also agreed to nominate these designees for election at its first annual shareholder meeting following the transaction’s close.
Completion of the merger remains conditional upon the expiration or termination of applicable waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act, the effectiveness of EQT’s registration statement on Form S-4, and the approval of shareholders from both corporations. Once these requirements are satisfied, a definitive joint proxy statement and prospectus will be distributed to shareholders.
