Marvell Technology is in advanced talks to acquire optical component maker Lumentum Holdings in a potential megadeal that would reshape the artificial intelligence hardware supply chain. Unfolding amid soaring demand for high-speed infrastructure, the transaction could rank among the largest technology and telecommunications mergers in history.
The negotiations unite a major fabless semiconductor designer with an essential producer of lasers and optical transceivers, according to people familiar with the matter. Reported on October 28, 2026, the discussions could lead to a formal announcement as soon as next week, though neither company has confirmed a finalized agreement.
Market Valuations and Share Price Divergence
The scale of the proposed combination reflects the massive capital flowing into artificial intelligence infrastructure. Lumentum carries a market value of about $83 billion, while Marvell is valued at roughly $221 billion. Following the news, after-hours trading saw the two stocks move in opposite directions as investors weighed acquisition premiums against potential financial leverage.
Lumentum shares surged significantly, closing the regular session at $913.95 and climbing past $1,018 in extended trading. Conversely, Marvell shares pulled back from $251.65. In terms of corporate scale, Marvell Technology reported annual revenue of $8.19 billion in its last fiscal year, while Lumentum reported $3.014 billion. Analysts point out that while the combined entity’s revenue would surpass the $10 billion mark, earnings per share would face significant dilution pressure during the integration period. Both companies operate as Northern California-based corporations, placing them in close geographic proximity as talks progress.
Optical Component Shortages and Data Center Bottlenecks
The strategic logic behind the buyout centers on the industry-wide transition toward light replacing copper.
As hyperscale computing clusters expand, electrical interconnects face severe limitations in distance, signal loss, bandwidth, and power consumption. Optical components provide the necessary alternative for moving massive data volumes between servers, addressing bottlenecks where copper links strain under heavy AI workloads.

Lumentum produces specialized indium phosphide lasers, optical circuit switches, and transceivers required for high-speed data center networking. High demand has left the component maker heavily backlogged. According to market coverage, Lumentum CEO Michael Hurlston previously stated that the company’s AI optoelectronic components are completely sold out
through early 2029.
Manufacturing these photonic elements requires complex technical processes, including specialized epitaxial growth, lithography, etching, metallization, and packaging. Production yields remain difficult to optimize when manufacturers introduce new device architectures or increase operating speeds to 800-gigabit and 1.6-terabit levels. Lumentum recently reported record fiscal fourth-quarter revenue of $1.01 billion, up 109% from a year earlier, driven by surging components revenue and initial shipments of 1.6T transceivers.
Supply Chain Reconfiguration and Competitive Pressures
Absorbing Lumentum would grant Marvell vertical integration over critical hardware elements that currently rely on separate vendor relationships. Marvell already sells data-center networking silicon, including optical digital signal processors that clean up and encode signals on high-speed links.

The competitive landscape also involves significant prior investments by major artificial intelligence players. In March 2026, Nvidia made a $2 billion investment in Lumentum by purchasing approximately 2.9 million shares of Series A convertible preferred stock at $695.31 each, alongside a matching $2 billion investment in optical supplier Coherent Corp.
Unresolved Deal Terms and Next Financial Checkpoints
While financial markets reacted swiftly to the reports, neither Marvell nor Lumentum has publicly confirmed the discussions. Observers note that no merger agreement has been signed, and terms, pricing, or regulatory approvals remain entirely unconfirmed.
Lumentum is scheduled to report its fiscal first-quarter financial results on November 5, a date that may bring official corporate commentary regarding the acquisition talks.
